Lawyer-Legal question...
If I were to hold my own class within a school (that's privately owned) they would charge me rent and I would have my own class there. ( I would teach, I would advertise on my own, etc, possibly hire an assistant). I was already told profits are all mine, but I would never go ahead with just a verbal "green light"...
I was advised to speak to THEIR lawyer (the exisiting school's owners) so as to keep this a "team" thing, and not make myself a competitor of theirs (which I totally wouldnt be, if anything, this might be something good for them, as in a new thing offered in their school.
OR
do I get my own lawyer.. but wouldnt that make it me against them? and when she gave me the "great idea, go for it !" she seemed to be like "keep me OUT of the loop, since she has so much going on within the school already.."
Im ready to go, but so torn on all the legal issues. Insurance, etc.
ADvice ?

I think any time you embark on a business endeavour you should have your own attorney for your protection.

I don't think it would be a you and against them thing to have your own atty. You are essentially starting a business and it's in your best interest to have one of your own.

and how do I approach her about making this "official". What do I say, without it sounding offensive if I bring up contracts and lawyers.

Why would she be offended? She told you to talk their lawyer first. You could ask their lawyer directly for an agreement b/c you want to review it and have your lawyer take a look at it.

oh no, I should have specified. I was advised by a friend (not by the owner) to speak to their lawyers. She never mentioned contracts, lawyers, etc. She seemed to like the idea and be ok with it, but didnt seem interested in wanting to be inolved any further than that.

If they wanted to go forward, this is what I would do.
Other things to start thinking about: Do you plan on incorporating? What type of insurance will you need?

My hubby told me to definitely create an LLC (if thats what you meant by incorporating). and as far as insurance, that's one of the things I still want to find out...

As a corporate lawyer- I totally agree. There are a lot of details you would need to work out- are you covered by their insurance? What is your responsibility to the school?
I think in this day and age, most people won't get offended by going into a deal with a lawyer.
What you could do is go meet with their lawyer, hear them out (don't talk too much) and have their lawyer draft something up and then bring it to your lawyer to review. If there are any issues, then you can start negotiations. This will save you $ on fees because your lawyer wouldn't have to go to the initial meeting.
I don't know any lawyers out in Commack. Sorry.

ok, stupid question, if a lawyer gives me info over the phone, at what point does he charge me is it considered a consultation?? hey, ya never know
